COMMERCIAL

BASIS OF PRICE:

Prices are firm for stated delivery time if the purchase order is received within validity period. For order placement after validity period stated in the proposal, prices will be subject to adjustment. All prices are in United States Dollars. All prices are exclusive of any taxes, levies, duties, fees, customs duties and other charges which may be
imposed on this contract.

PROGRESS PAYMENTS:

The following is TIC’s standard progress payment schedule. If progress payments are required, it will be noted on the quote.

CANCELLATION SCHEDULE:

Cancellation charges will be applied in the event PO is cancelled after acceptance.

CLIENT INSPECTION AND WITNESS TEST:

If required, this will extend the lead time and will be scheduled 1 to 2 weeks prior to the shipment date. Any changes requested during acceptance test will result in commercial and schedule impacts.

CHANGES AFTER MANUFACTURING COMPLETION / SHIPMENT:

Changes requested after manufacturing completion / shipment will be subject to TIC’s applicable schedule of rates and then current TIC Field Service Terms and Conditions https://www.toshiba.com/tic/cms_files/Field_Services_Terms_and_Conditions.pdf

MV ASD & MCC SHIPPING REQUIREMENTS:

For customers arranging their own transport, flatbed shipping requirement for customer must be adhered to. Flatbed Shipping Requirements for Customers is available at TIC website: https://www.toshiba.com/tic/flatbedshipping The equipment should be transported via air ride truck and covered by tarp for weather protection during transportation.

EQUIPMENT DELIVERY:

Lead time is subject to confirmation at the time of order acceptance depending on current plant loading. TIC will respond with the estimated ship date at the time that the Order is received or at notice of order submission. TIC will make commercially reasonable efforts to honor the lead time quoted in the Order given there is no significant change related to the plant loading during the approval process.

STORAGE AT CUSTOMER LOCATION:

Equipment should be properly stored at site prior to installation. TIC’s recommended short-term or long-term storage guidelines should be followed to maintain product warranty.

STORAGE BY TIC:

In the event customer requests an extension of the delivery date and TIC, in its sole discretion, agrees to extend such date, TIC may place such Goods in storage either at a TIC operated facility or at another location. In such event, (1) all costs incurred by TIC in connection with such storage, including, without limitation, costs of preparing such goods for storage, placement into storage, handling, storage/demurrage, inspection, preservation and insurance shall be due and payable by customer upon receipt by customer of TIC’s invoices and (2) TIC’s delivery obligations shall be deemed fulfilled and title and risk of loss to the Goods shall pass to customer if it has not already passed.

FOR CUSTOM ENGINEERED ORDERS

ORDER REVIEW AND ACCEPTANCE:

TIC will address any concerns within one (1) week after receipt of PO. Technically and commercially clear purchase order (PO) will be required for acceptance. TIC requires all concerns to be resolved by Customer prior to TIC’s acceptance of Order. It is TIC’s recommendation for Customer to be involved with pre-award activities or kick-off meetings to better understand the project requirements and to meet the project schedule.

APPROVAL DRAWINGS:

Outline and Schematics Drawings for Approval: 4 to 6 weeks after acceptance of Order. Submittal schedule of additional approval documents must be separately agreed upon by TIC prior to order submission. If PO does not state either “Hold for approval process” or “approval process is required”, TIC shall not be required to hold for approval.

REVIEW CYCLE:

Two (2) weeks allowed for Customer to review and return marked-up drawings. “Release to Manufacture” and “Approved Drawings” required in order for delivery schedule to be confirmed and adhered to.

RE-SUBMITTAL:

If resubmittal of drawings is required, TIC will submit the revised drawings within four (4) weeks after acceptance of requested technical and commercial changes by customer.

DESIGN FREEZE:

Design freeze will be in effect after receipt of authorized “Release to Manufacture.” Subsequent changes after design freeze will result in both commercial and delivery impact.

MATERIALS OR INFORMATION SUPPLIED BY CLIENT:

If applicable, any materials or information to be supplied by customer for installation in the TIC manufactured product must be received in full at least 12 weeks prior to shipment date. Customer’s failure to timely transmit any such materials or information may result in delays of shipment.

START UP AND TRAINING – FIELD SERVICE RATES:

Startup / training requests require 3 weeks’ notice. Startup requests with less than 3 weeks advance notice may be subject to additional costs and /or TIC may not be able to support the requested timeline. The expectation at startup is that product supply power is available and that the motor can be operated. If the required time for startup exceeds the quoted scope, the additional scope will be billed per standard rates and terms.

OTHER:

Any motor operated on Adjustable Speed Drives (ASD) is subject to potential premature bearing failures due to the increased shaft currents caused by common mode voltages inherent with operation on a non-sinusoidal power source. TIC recommends insulating both bearings on frame sizes 444T and larger due to the higher risk of bearing failure. Smaller motors are at risk as well and should be considered after review application and installation.
